Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of ActionLayer (the "Service"), operated by Epsilon LLC ("ActionLayer", "we", "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The service
ActionLayer provides email infrastructure that lets AI agents send and receive email under verified sender identities, with optional human-in-the-loop draft approval, automation rules, MCP and REST APIs, and webhook delivery. The Service is provided on an "as is" basis and may change as features are added, modified, or removed.
3. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity under your account. Notify us immediately at support@actionlayer.dev if you suspect unauthorized access.
4. Plans, quotas, and billing
Plan tiers, included quotas, and pricing are described on our Pricing page. Paid plans are billed in advance on a recurring basis through Stripe. You may upgrade or downgrade at any time; upgrades are prorated, downgrades take effect at the start of the next billing period. Builder Pack is a free tier with a lifetime quota that does not reset.
When a quota is reached, sends or receives subject to that quota are blocked until the next billing period or until you upgrade. We do not silently overage-bill.
5. Acceptable use
You agree not to use the Service to send unsolicited bulk email (spam), to impersonate others, to distribute malware or phishing content, to harass or threaten any person, to violate the CAN-SPAM Act, GDPR, or any other applicable law, or to bypass rate limits or authentication. You are responsible for the lawful use of any AI agent that you connect to the Service.
We may suspend or terminate accounts that violate these rules or that generate abuse complaints, bounces, or spam reports above acceptable thresholds.
6. Your content
You retain ownership of all email content, contacts, drafts, and other data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to operate and improve the Service, including transmitting messages on your behalf, storing thread history, and generating usage metrics. We do not sell Customer Data, and we do not use the content of your emails to train AI models.
7. Third-party services
The Service relies on third-party providers including Amazon SES for mail transport, Stripe for payment processing, and Postmark for transactional notifications. Use of those services through ActionLayer is also governed by their respective terms.
8. Termination
You may cancel your subscription at any time from the billing portal. We may suspend or terminate your access for material breach of these Terms or for non-payment. On termination, your data will be retained for a reasonable period to allow export, then deleted in accordance with our retention policy.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any message will be successfully delivered.
10. Limitation of liability
To the maximum extent permitted by law, ActionLayer's aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts paid by you to ActionLayer in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100). In no event will we be liable for indirect, incidental, special, consequential, or punitive damages.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Delaware.
